Terms of Service

1. Introduction

Welcome to Signum. The Signum platform is operated by Kaizen Projects BV, a company registered in Belgium ("Signum," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Signum platform, including our website, AI trading mentor, charting tools, trade journal, and all related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your account credentials.
• Notify Signum immediately of any unauthorized access or use of your account.
• Accept responsibility for all activity that occurs under your account.

Signum reserves the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.

4. User Obligations

When using the Service, you agree not to:

• Violate any applicable law, regulation, or third-party rights.
• Use the Service for any unlawful, fraudulent, or malicious purpose.
• Attempt to reverse-engineer, decompile, or disassemble any portion of the Service.
• Circumvent, disable, or interfere with any security features of the Service.
• Use automated scripts, bots, or scrapers to access the Service without prior written consent.
• Redistribute, resell, or sublicense any content or features of the Service.
• Share your account credentials with any third party.
• Attempt to manipulate or abuse the credit system.
• Upload malicious content or attempt prompt injection attacks against the AI mentor.

5. Educational Purpose Only

The Service is provided strictly for educational and informational purposes. All content, including but not limited to AI mentoring responses, chart analyses, trade journal insights, and course materials, is educational in nature and does not constitute financial advice, investment advice, trading signals, or recommendations to buy, sell, or hold any financial instrument. You acknowledge that Signum is not a registered investment advisor, broker-dealer, or financial planner. You are solely responsible for your own trading and investment decisions.

6. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio, video, software, AI models and outputs, educational curricula, assessment materials, and the underlying code, are the exclusive property of Signum or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without prior written consent from Signum. Any user-generated content you submit (such as trade journal entries) remains your property, but you grant Signum a non-exclusive license to use such content to improve the Service.

7. Subscriptions and Billing

Signum offers both free and paid subscription plans. By selecting a paid plan, you agree to the following:

• Billing Cycle: Subscriptions are billed on a monthly recurring basis. Your payment method will be charged at the beginning of each billing cycle.
• Credits: Monthly subscription credits reset at the beginning of each billing cycle and do not roll over. Purchased credit packs do not expire.
• Price Changes: Signum reserves the right to modify pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months.
• Refunds: Subscription fees are generally non-refundable. Exceptions may be considered at Signum's sole discretion for technical issues preventing access to the Service.

All payments are processed securely through Stripe. Signum does not store your payment card details directly.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SIGNUM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIGNUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. SIGNUM MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED RESPONSES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGNUM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. SIGNUM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SIGNUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Signum and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any trading or investment decisions you make based on content accessed through the Service; or (e) any content you submit through the Service.

11. Account Termination

Signum reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

• Violation of these Terms or any applicable law.
• Fraudulent, abusive, or illegal activity.
• Conduct that is harmful to other users or the integrity of the Service.
• Extended periods of inactivity.
• Non-payment of subscription fees.

You may delete your account at any time through your account settings. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. If you are a consumer residing in the European Union, you additionally benefit from any mandatory provisions of the law of your country of residence.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the competent courts of Brussels, Belgium. If you are a consumer in the European Union, you may also bring proceedings before the courts of your country of residence and may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Modification of Terms

Signum reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For significant changes, we may also provide notice via email or through the Service interface. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, Risk Disclaimers, and Cookie Policy, constitute the entire agreement between you and Signum regarding the use of the Service and supersede all prior agreements and understandings.
